ZenAgentic provides artificial intelligence software solutions, specifically voice-based engagement tools for professional service firm websites. You acknowledge and agree that our software relies on advanced algorithmic models that, while highly engineered, may occasionally produce hallucinated, inaccurate, or unintended responses, including dropped calls, misunderstood intent, or incorrect routing.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENAGENTIC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, LOST LEADS, MISQUOTED PRICING, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, OUR SERVICES. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
While ZenAgentic provides tools designed to enhance lead capture and qualification, we make ZERO representations, warranties, or guarantees regarding the economic performance, conversion rate, call volume, or profitability, tangible or implied, resulting from the use of our Services. ROI calculators and any case studies presented on our marketing materials are purely illustrative and hypothetical estimations based on self-reported third-party data or modeled scenarios. Past performance does not guarantee future results.
You agree to defend, indemnify, and hold harmless ZenAgentic and its licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; or (d) any claim that the deployment of our voice agent on your website caused damage to a third party, including providing incorrect tax, legal, financial, or professional advice to your visitors.
You bear the sole and exclusive responsibility for reviewing, auditing, and maintaining the accuracy of the prompts, guardrails, and knowledge baselines provided to the voice agent. You must clearly disclose to your website visitors that they are interacting with an Artificial Intelligence agent, not a human representative, in accordance with all applicable state, federal, and international telecommunications and AI regulations.
The Service and its original content, features, datasets, conversational models, functionality, algorithms, and prompt structures are and will remain the exclusive property of ZenAgentic and its licensors. Our Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.
These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Austin, Texas before one arbitrator. The arbitration shall be administered by JAMS.
